12. Arbitration & Governing Law

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, your use of the Services, or any communications with CapitalVanta shall be resolved exclusively through final and binding arbitration.

Arbitration shall be conducted in the Commonwealth of Massachusetts before a single neutral arbitrator, in accordance with the rules of the American Arbitration Association (AAA) then in effect.

You agree that:

Arbitration shall be conducted on an individual basis only.

Class actions, collective actions, and representative actions are expressly waived.

You waive the right to participate as a plaintiff or class member in any purported class or representative proceeding.

The arbitrator shall not consolidate claims of multiple parties.

You further agree that:

Any claim must be brought within one (1) year of the date the cause of action arose, or it is permanently barred.

The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear its own attorneys’ fees unless otherwise required by law.

Nothing in this section shall prevent either party from seeking injunctive relief in a court of competent jurisdiction to prevent unauthorized use of intellectual property or misuse of confidential information.

By using the Services, you knowingly and voluntarily waive the right to a trial by jury.

13. Modifications

We reserve the right to modify these Terms at any time. Updates will be posted with a revised effective date.

Continued use constitutes acceptance of revised Terms.
